Our experienced commercial team supports a wide range of clients across various industries. We advise on all commercial, franchising, and employment matters. This includes contract drafting for distribution, agency agreements, manufacturing contracts, employment contracts, and more. We also provide counsel on regulatory compliance, foreign investment, licensing, and business registration.

Within the employment sphere, we regularly advise on the design of ESOP schemes, employment arrangements in a restructuring and contract termination.

  • LEGO on the establishment of its manufacturing facility in Vietnam. Our work includes advising on corporate, regulatory, real estate and development issues in relation to the project.
  • Iron Mountain on the establishment of a branch and warehouse to provide electronic data storage solutions in Vietnam.
  • The investor in the so-called German House in Ho Chi Minh City on all legal aspects of the development, construction and financing as well as operational matters (including lease agreements, and pre-lease agreements).
  • Modern Energy Management Pte., Ltd. on the establishment of a Vietnamese entity to operate and provide renewable energy project management services in Vietnam.
  • Techtronic Industries on the establishment of its electronic appliance manufacturing facility with a proposed investment of USD650 million, including preparing the internal labour rules and standard employment contracts.
  • SP Infra on the negotiations with EVN of the first PPA by a foreign-owned company in Vietnam for a 100MW solar project in Ninh Thuan Province, Vietnam.
  • BAA Training, a European aviation training provider on establishing a pilot training centre in Vietnam and advising on the acquisition financing of Airbus A320 flight simulators.
  • Hilton Hotels and Resorts on various employment matters and advice including contracting and termination.
