Asia Counsel’s lawyers have extensive expertise in advising on all legal matters pertaining to infrastructure, real estate development and construction projects.

We are well-versed in assisting clients throughout the entire life cycle of greenfield and brownfield projects, from initial development phases through project completion.

Specifically, our services encompass land acquisition and title clearance, project development agreements, legal due diligence, construction contracting, project management arrangements, joint ventures, commercial leases, O&M agreements, regulatory compliance, and exit strategies.

Our partners have acted on the following matters:
  • Advising LEGO on the establishment of its manufacturing facility in Vietnam. Our work includes advising on corporate, regulatory, real estate and development issues in relation to the project.
  • Advising the German House in Ho Chi Minh City on all legal aspects of the development, construction (based on FIDIC Red Book and Yellow Book) and financing as well as operational matters (including lease agreements, pre-lease agreements). A truly unique PPP project in Vietnam, the German House includes the development by a private investor of a two tower Grade A development of office and consular premises in District 1, Ho Chi Minh City, in conjunction with the German and Vietnamese Governments.
  • Advising Techtronic Industries on the establishment of its electronic appliance manufacturing facility with a proposed investment of USD650 million.
  • Advising SLP on the real estate due diligence on the Vietnam projects in relation to the capital raising of its Vietnam logistics fund.
  • Advising the French Government on the so-called “Project Francais” in Vietnam (Annex of the French Institute), including preparing and negotiating the partnership agreement with the French Chamber of Commerce as the developer and operator.
  • Advising CZ Vietnam, the investor in the Friendship Tower, on its construction facility from Indovina Bank (Acting for borrower).
  • Advising Manila Water on its proposed investment in a water treatment and water supply project in Vietnam.
